Hindi kinakailangang notaryado ang sales contract para magkaroon ng bisa

Dear Chief Acosta,

Ako ay nagbenta ng lupa at nagkaroon na kami ng notaryadong Deed of Sale. Gayunman, aming napag-alamang ang nagnotaryo pala nito ay nag-expire na ang authority sa pagnotaryo. Dahil dito, maaapektuhan ba ang bisa ng aming kontrata sa pagbenta? – Kaka

Dear Kaka,

Ang sagot sa inyong katanungan ay hindi po. Para sa inyong kaalaman, ang kontrata sa pagbenta o sales contract ay may bisa at balido kapag ang mga elemento nito, ‘yan ay ang pagsang-ayon, bagay o paksa, at konsiderasyon ay naroroon.

Kaugnay nito, hindi kinakailangan na ang sales contract ay notaryado para lang ito ay maging wasto at may bisa. Dahil dito, kahit pa man sabihin nating totoo ngang nag-expire na ang authority ng notary na nagnotaryo ng inyong kontrata, ito ay walang epekto kaugnay sa bisa ng inyong naging kontrata hangga’t ang lahat ng elemento ng sales contract ay nandodoon.

Sa katunayan, ito ang isinaad ng Korte Suprema sa kasong Soriano vs. Latoño (G.R. No. L-3408. December 23, 1950), isinulat ni Honorable former Associate Justice Pedro Tuason, viz:

“It held that subsequent confirmation of the sale by the court was unnecessary, and that the document was not assailable on the ground of lack of authority of the notary public who ratified it. The decision told the defendants to present their deed to the register of deeds and to have a new certificate of title issued in their favor.
The formal objection to the deed of sale is of no moment. We agree with the trial Judge that had not this instrument been notarized at all, the same would have been fully effective as between the parties under article 1261 of the old Civil Code in force at the time of the conveyance. All the elements of a valid contract were present: subject matter, capacity and consent of the parties, and lawful consideration.” (Binigyang-diin)
