Nagpakilalang chemical engineer ang aking kapitbahay at nahiyakat niya akong magtayo ng negosyong may kinalaman sa kanyang propesyon. Noong nakaraang buwan lamang, napag-alaman kong nagpapanggap lamang siyang lisensyadong chemical engineer. Ano ba ang maaaring maging parusa sa kanyang ginawa? - Cassy


Dear Cassy,


Para sa iyong kaalaman, ang iyong katanungan ay tinatalakay sa Section 27 ng Republic Act (R. A) No. 9297 o mas kilala sa tawag na “Chemical Engineering Law of 2004” kung saan nakasaad na:

“Section 27. Prohibition in the Practice of Chemical Engineering. – No person shall practice chemical engineering or render chemical engineering service without a valid certificate of registration and a valid professional identification card. Any person who shall commit the following acts shall be guilty of misdemeanor:

1. Practice chemical engineering or render chemical engineering services, or pass himself off or advertise himself as a chemical engineer without a valid certificate of registration or when such has been suspended or revoked.

2. Attempt to use as his own the certificate or seal of another person or impersonate any registered chemical engineer; or

3. Furnish the Board or Commission any false information or document in order to secure a Certificate of Registration.” [Binigyang-diin]


Base sa nabanggit na probisyon ng batas, mahigpit na ipinagbabawal ng batas ang pagsasanay ng Chemical Engineering nang walang kaukulang lisensya. Kabilang na ang pagpapanggap o pag-aanunsyo bilang chemical engineer kung wala namang kaukulang lisensya, paggamit ng suspendido o pasong lisensya, paggamit ng lisensya ng iba at ang pagbibigay ng maling impormasyon upang makakuha ng lisensya.


Ang sinumang magpanggap bilang lisensyadong chemical engineer ay maaaring patawan ng multa na hindi bababa sa P10,000 hanggang 1, 000, 000 pagkakakulong mula anim na buwan hanggang limang taon o parehas na multa at pagkakakulong, sang-ayon sa Section 34 ng nasabing batas kung saan nakasaad na:


“Section 34. Penal Clause. – Any person who shall violate any of the provisions of this Act shall be guilty of misdemeanor and shall, upon conviction, be sentenced to a fine of not less than Ten thousand pesos (P10,000 nor more than One million pesos (P1,000,000 or imprisonment for a period of not less than six (6) months nor more than five (5) years or both at the discretion of the court.”

Kaya naman, ang iyong kapitbahay ay maaaring makasuhan ng paglabag sa R.A. No. 9297 dahil sa pagpapanggap niya bilang chemical engineer. Bukod pa rito ang kasong maaaring isampa laban sa kanya kung sakaling mayroon pang ibang batas na nalabag dahil sa kanyang pagpapanggap at panloloko sa iyo. Gayunman, nangangailangan ng karagdagang impormasyon at konsultasyon para matukoy ito.

Naaresto ang aking karelasyon, kamakailan lamang ngunit ang kanyang pagkaaresto ay walang sapat na basehan. Maaari ba akong magsampa ng Petition for Issuance of Writ of Habeas Corpus para sa aking karelasyon na inaresto, kahit hindi kami kasal? - Jay


Dear Jay,


Para sa iyong kaalaman, ang Rule 102 ng Rules of Court ay angkop sa iyong katanungan. Ayon sa nasabing probisyon:


“Section 1. To what habeas corpus extends. — Except as otherwise expressly provided by law, the writ of habeas corpus shall extend to all cases of illegal confinement or detention by which any person is deprived of his liberty, or by which the rightful custody of any person is withheld from the person entitled thereto.

Section 3. Requisites of application therefor. — Application for the writ shall be by petition signed and verified either by the party for whose relief it is intended, or by some person on his behalf, and shall set forth:


1. That the person in whose behalf the application is made is imprisoned or restrained on his liberty;


2. The officer or name of the person by whom he is so imprisoned or restrained; or, if both are unknown or uncertain, such officer or person may be described by an assumed appellation, and the person who is served with the writ shall be deemed the person intended;


3. The place where he is so imprisoned or restrained, if known;


(d) A copy of the commitment or cause of detention of such person, if it can be procured without impairing the efficiency of the remedy; or, if the imprisonment or restraint is without any legal authority, such fact shall appear.” (Emphasis supplied).


Alinsunod sa nasabing probisyon, ang writ of habeas corpus ay nauukol sa lahat ng kasong may kinalaman sa ilegal na pagkulong at pagsikil sa kalayaan ng tao at pagkait ng kustodiya sa tao. Pinapayagan ng patakarang panghukuman na maghain ng petisyon tungkol dito ang ibang tao para sa kapakinabangan o pangalan ng taong pinagkakaitan ng kalayaan nang walang legal na basehan. Walang binanggit na kuwalipikasyon o limitasyon kung sino ang maaaring maghain. Samakatwid, hindi hadlang ang hindi ninyo pagiging mag-asawa upang ikaw ay magkapagsampa ng Petition for Issuance of Writ of Habeas Corpus. Ang importante ay mayroon kayong basehan upang gamitin ang nasabing remedyo sang-ayon sa mga probisyon na nakasaad sa Rule 102 ng Rules of Court.

Nag-apply ako ng trabaho sa cosmetics company bilang chemist. Nang ako ay pumirma sa aking employment contract, nabasa ko na mayroong nakasaad na kung sakaling ako ay magbitiw sa trabaho ay hindi ako maaaring magtrabaho bilang chemist para sa iba pang cosmetics company sa buong bansa ng habambuhay. Legal ba ang probisyon na ito? - Juno


Dear Juno,


Ang probisyon sa employment contract na naglilimita o nagbabawal sa empleyadong nagbitiw na magtrabaho sa katunggaling kompanya ay mas kilala bilang non-compete clause na isang uri ng restrictive covenant. Dapat mong malaman, na ayon sa Artikulo 1159 at 1306 ng New Civil Code of the Philippines:


“Article 1159. Obligations arising from contracts have the force of law between the contracting parties and should be complied with in good faith.

Article 1306. The contracting parties may establish such stipulations, clauses, terms and conditions as they may deem convenient, provided they are not contrary to law, morals, good customs, public order, or public policy.”


Ayon sa mga nabanggit na probisyon, ang bawat partido sa kontrata ay may kalayaan na magbigay ng mga probisyon, kondisyon at iba pang kasunduaan kung ang mga ito ay hindi labag sa batas, moralidad, kagandahang-asal o pampublikong panuntunan.

Sa Tiu v. Platinum Plans Phil., Inc. (G.R. No. 163512, 28 February 2007) na isinulat ni Kagalang-galang na dating Kasamang Mahistrado Leonardo A. Quisumbing, ipinaliwanang ng Kagalang-galang na Korte Suprema ang mga alituntunin sa pagtrato sa restrictive covenant sa isang kontrata:


“However, in Del Castillo v. Richmond, we upheld a similar stipulation as legal, reasonable, and not contrary to public policy. In the said case, the employee was restricted from opening, owning or having any connection with any other drugstore within a radius of four miles from the employer’s place of business during the time the employer was operating his drugstore. We said that a contract in restraint of trade is valid provided there is a limitation upon either time or place and the restraint upon one party is not greater than the protection the other party requires.

Finally, in Consulta v. Court of Appeals, we considered a non-involvement clause in accordance with Article 1306 of the Civil Code. While the complainant in that case was an independent agent and not an employee, she was prohibited for one year from engaging directly or indirectly in activities of other companies that compete with the business of her principal. We noted therein that the restriction did not prohibit the agent from engaging in any other business, or from being connected with any other company, for as long as the business or company did not compete with the principal’s business. Further, the prohibition applied only for one year after the termination of the agent’s contract and was therefore a reasonable restriction designed to prevent acts prejudicial to the employer.

Conformably then with the aforementioned pronouncements, a non-involvement clause is not necessarily void for being in restraint of trade as long as there are reasonable limitations as to time, trade, and place.” (Binigyang-diin)

Sa iyong sitwasyon, masasabing hindi makatwiran ang non-compete clause sa iyong kontrata sapagkat walang tiyak na limitasyon sa panahon kung kailangan ito dapat sundin. Maituturing din na hindi makatwiran na ang restriction sa iyo ay para sa buong bansa. Kung titingnan, ang limitasyong ipinataw sa iyo ay magtatanggal sa iyo ng buong karapatan na magtrabaho bilang chemist sa cosmetic company. Samakatuwid, maaaring maituring na walang bisa o void ang probisyong ito ng inyong kontrata.
